These Terms of Service ("Terms") govern your access to and use of the services provided by Second Labs Inc. ("Second," "we," "us," or "our"), including our website, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using our Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Second is a workspace platform that allows users to create documents, build custom features, and integrate with third-party services. We may modify, suspend, or discontinue any part of the Service at any time.
3. Account Registration
To use certain features of the Service, you must create an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
4. User Content
You retain ownership of content you create using the Service ("User Content"). By using the Service, you grant us a limited license to host, store, and process your User Content solely as necessary to provide the Service to you. We do not claim ownership of your User Content.
5. Acceptable Use
You agree not to:
Use the Service for any illegal purpose or in violation of any laws
Upload or transmit viruses, malware, or other malicious code
Attempt to gain unauthorized access to the Service or other users' accounts
Interfere with or disrupt the Service or servers
Use the Service to send spam or unsolicited communications
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use automated means to access the Service without our permission
Resell or redistribute the Service without authorization
6. Third-Party Integrations
The Service allows you to connect third-party services (such as Google Calendar, GitHub, and others). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services. You may disconnect integrations at any time through your account settings.
7. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are owned by Second Labs Inc. and are protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without our prior written consent.
8. Payment Terms
Certain features of the Service may require payment. If you purchase a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated otherwise. We may change our fees upon reasonable notice.
9. Termination
You may terminate your account at any time by contacting us or using account settings. We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately.
10. Data Export
Prior to account termination, you may request an export of your User Content. We will make reasonable efforts to provide your data in a standard format.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECOND LABS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Second Labs Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
15. Dispute Resolution
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
16. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
17. General Provisions
These Terms constitute the entire agreement between you and Second Labs Inc. regarding the Service. If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right or provision does not constitute a waiver. You may not assign these Terms without our consent; we may assign our rights without restriction.
